1. Introduction
These Terms of Service (“Terms”) govern the provision of professional business and consulting services by Connect Business Trading Pty Ltd (ABN 75 637 920 042) (“we”, “us” or “our”) to you, the client (“you” or “your”). By engaging our services, requesting a quote, or otherwise using our website at https://connectbusinesstrading.online, you agree to be bound by these Terms.
If you do not agree with these Terms, please do not engage our services or use this website.
2. Our Services
We provide professional business and consulting services, which may include business advisory, operational reviews, strategy development, process improvement and related consulting engagements. The specific scope, deliverables, timelines and fees applicable to your engagement will be set out in a written proposal, quote or engagement agreement agreed between us.
Any general information published on this website is provided for information purposes only and does not constitute financial, legal, taxation or other professional advice for your specific circumstances.
3. Quotes and Engagement
- Quotes provided by us are valid for 30 days from the date of issue unless otherwise stated in writing.
- A quote is an estimate of the fees for the described scope of work. Work outside the agreed scope may incur additional fees, which will be discussed and agreed with you before proceeding.
- An engagement is formed when you accept a quote in writing (including by email) or when we commence work at your request.
- You agree to provide timely, accurate and complete information reasonably required for us to perform the services. Delays in providing information may affect timelines and fees.
4. Fees, Invoicing and Payment
- Fees are payable in Australian dollars (AUD) in accordance with the payment terms stated on our invoice, which are typically 14 days from the date of the invoice.
- We may require a deposit or progress payments for certain engagements, as set out in the applicable quote or engagement agreement.
- If an invoice remains unpaid past its due date, we may suspend work and charge reasonable late-payment administration costs as permitted by law.
- You remain responsible for fees incurred for work performed up to the date of any suspension or termination.
5. Goods and Services Tax (GST)
All fees are expressed exclusive of GST unless stated otherwise. Where GST applies, it will be added to our invoices in accordance with Australian tax law.
6. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted or modified by agreement.
To the fullest extent permitted by law, our liability for any failure to comply with a consumer guarantee that cannot be excluded is limited, at our option, to the supply of the services again or the payment of the cost of having the services supplied again.
7. Limitation of Liability
To the extent permitted by law and except as set out in section 6:
- we are not liable to you or any third party for any indirect, incidental, special or consequential loss or damage, including loss of profit, revenue, data or business opportunity, arising from or in connection with our services; and
- our total aggregate liability for any claim arising out of or relating to our services is limited to the fees paid by you to us for the specific engagement giving rise to the claim.
This clause does not apply to liability that cannot be limited by law, including liability for anything that cannot lawfully be excluded under the Australian Consumer Law.
8. Confidentiality and Intellectual Property
Each party agrees to keep confidential all non-public information disclosed by the other party in connection with an engagement, and to use such information only for the purpose of performing the engagement. This obligation survives the completion or termination of an engagement.
Unless otherwise agreed in writing, you own the final deliverables prepared specifically for you under an engagement, upon full payment of all amounts due. We retain ownership of our pre-existing methodologies, frameworks, templates and know-how, and of all intellectual property in our website content.
9. Privacy
We handle personal information in accordance with our Privacy Policy and applicable Australian privacy laws. By engaging our services, you consent to the collection, use and disclosure of personal information as described in that policy.
10. Termination
Either party may terminate an engagement by giving at least 14 days’ written notice to the other party, or immediately if the other party commits a material breach of these Terms that is not remedied within 14 days of written notice.
On termination, you agree to pay all fees and disbursements incurred for work performed up to the date of termination, and we will return any property or information held on your behalf where reasonably practicable.
11. Force Majeure
We are not liable for any delay or failure to perform our obligations to the extent caused by events beyond our reasonable control, including natural disasters, strikes, government restrictions, power or communications failures, or other events of force majeure.
